The licensee shall have governance rules, laws and controls that are commensurate with the nature, volume and complexity of its business and its organizational structure, provided that it includes - but is not limited to - the regulation of the organizational structure, the independence and separation of duties and the roles of the company’s managers and members of the board of directors and its committees, including the appointment of directors and members and their responsibilities, remuneration and compensation policies, conflict of interest controls, integrity and transparency controls, compliance with applicable laws, regulations and decisions, obligations to maintain confidentiality of information and appropriate protection of assets. The licensee shall apply the standards and principles issued by SAMA and the relevant authorities in this regard.
